Listing process to raise capital

Sustaintech Membership and Listing involves the following steps:

  1. The Business Operator and Sustaintech enter into a Multiparty Confidentiality Agreement. This is designed to ensure that Sustaintech only reveals those matters which the Business Operator is prepared to have us disclose, and also ensures that Sustaintech confidential information is protected.

  2. The Business Operator provides Sustaintech with detailed information required to permit listing of the opportunity under the ASIC Class Order 02/273. Initially this information is provided through the Business Registration, but further information may be required.

  3. The Business Operator and Sustaintech enter into an agreement which provides the basis for the listing of the business. This agreement includes a success fee clause, which provides for a fee to be paid to Sustaintech once investment is made as a result of the listing or other activities undertaken by Sustaintech.

  4. Unless advised otherwise, the business will be listed on the Sustaintech website, which Sustaintech has developed as a portal for investors seeking sustainable business opportunities. We will handle initial enquiries, and direct potential Business Investors to the Business Operator.

  5. The Business Operator is obliged to inform Sustaintech of any potential discussions or negotiations between themselves and any Business Investor, or any potential Business Investor who is referred by a Business Investor.

  6. Sustaintech will undertake various activities to attract potential Business Investors to the website, where they will be able to see the Business Operators listing. It is in our interest to do all we can to make this happen, but since investment market conditions change we need to be flexible in how we go about this. The types of activities we may engage in include searching out and informing local and overseas investors of businesses that are listed, making contact with our existing extensive investor network and possibly arranging presentations by you to potential Business Investors.

  7. If the Business Operator and Business Investor are proposing to enter into an agreement, they are obliged to include in that arrangement provisions to ensure that Sustaintech is paid its success fee.

  8. The agreement term is 12 months. Once the term of agreement expires Sustaintech may invite the Business Operator to rejoin. The Business Operator is free to continue or to cease without obligation, apart from the continuing obligations to confidentiality, and to pay commission in the event of an investment arising out of an introduction Sustaintech has generated directly or indirectly.
