Multiparty confidentiality agreement
	WHEREAS the parties to this agreement as noted in the Schedule hereto wish to disclose to each other information about certain research data, product and/or business concepts and other confidential information (herein "the Information", such term including both any information relating to the concepts, invention or other intellectual property whatsoever its form or subject matter) has been generated; IT IS HEREBY AGREED THAT FOR THE PURPOSES OF THIS AGREEMENT any party which receives this Information shall be defined as the Recipient, and any party providing that information shall be defined as the Provider, and that any party may be both Recipient and Discloser within the terms of this agreement; IT IS HEREBY AGREED THAT (i) Each Recipient shall take any Information in trust for the Discloser of that Information and shall use that Information exclusively for the purposes of evaluating the potential for a working arrangement in relation to the commercial exploitation of the Information, or for the furtherance of such commercial or other arrangements as may be entered into by the parties hereto in relation to the Information. (ii) The Recipient shall not disclose the Information to any person or organisation without the express permission of the Discloser and shall not use that Information to assist in other product development without reaching a commercial agreement between the parties. (iii) A Discloser may at any time serve notice on the Recipient to return all Information to the Discloser, and the Recipient shall return all such Information within seven (7) days of such notice together with copies of any further Information or data gathered by the Recipient in evaluating or analysing the Information or its subject matter. (iv) This agreement shall continue to bind the parties until such time as the Information shall enter the public domain by actions other than those of the Recipient, or for such other period as shall be agreed in writing between the Discloser and the Recipient. (v) In the event of a breach of this agreement, a Discloser shall be entitled to the following: (a) all revenues howsoever generated by the Recipient as the direct or indirect result of the breach of this agreement; (b) the value of any costs or losses howsoever incurred by the Discloser, including foregone profits or commercial opportunities, arising from the wrongful disclosure; (c) all inventions, trade secrets, patents or designs, however arising from breach of this agreement; (d) reimbursement of all costs, including time expended at market consultancy rates to be determined by arbitration by the Institute of Arbitrators, incurred by the Discloser as a result of the breach of this agreement. (vi) This agreement shall be binding upon the Recipient, the staff or employees or managers of the Recipient and any of their partners, corporations, heirs or successors who shall receive the Information. Investor agreement
	I hereby engage Sustaintech Ltd (Sustaintech) ACN 097 828 978, in introducing businesses for investment. 1. I understand and accept the following conditions of this Agreement: 2. I acknowledge that to engage Sustaintech, I am required to complete and submit this Investor Agreement. Third Party Investors I represent are required to abide by the same conditions, including completing and submitting an Investor Agreement prior to introduction. I undertake that I shall not disclose to them any information beyond that accessible from the Sustaintech website without registration, until such time as they have signed an Investor Agreement and Confidentiality Agreement. 3. Sustaintech publications documents and activities are subject to ASIC Class Order 02/273. 4. Sustaintech, while introducing Business Investors and Business Operators, does not guarantee any introductions or investments. 5. Information I receive from Sustaintech has been prepared by or on behalf of, Business Operators proposing to issue or sell the securities or scheme interests and Sustaintech has not undertaken independent review of the information. Sustaintech and its representatives make no opinion recommendation or guarantee regarding any investment opportunity, and do not accept any responsibility or liability for the accuracy of information provided to me. 6. I will not initiate or make contact with any Business Operator until Sustaintech provides written consent. 7. I understand I am to provide such corporate or personal information as is reasonably required to assist Sustaintech in making introductions between me and Business Operators for the purposes of this Agreement. 8. I acknowledge Sustaintech will receive a success fee from the Business Operator on the date of entering into any agreement under which capital, finance or investment is provided or any financial arrangement, contractual arrangement or investment (direct or indirect, in cash, loaned or otherwise) is made. 9. I agree that I shall not enter into any agreement with any Business Operator arising out of my relationship with Sustaintech, either directly or indirectly, unless that agreement acknowledges the success fee due to Sustaintech in the following terms: The parties to this agreement shall be mutually and severally liable for all commissions, expenses or charges due to Sustaintech, and shall i) Pay in full all such commissions, expenses or charges when they fall due, which shall be at the time when any funds are received under this agreement or any subsequent agreement between the parties ii) Notify Sustaintech seven days ahead of any intended payments under this arrangement, and comply with such requirements as shall be specified by Sustaintech for the processing of their fees iii) Notify Sustaintech of any negotiations, arrangements or agreements which might reasonably relate to their possible entitlement for commission or fees, including the introduction of additional investors, further tranches of investment, or further investment agreements between the parties hereto. 10. Should I enter into any commercial arrangement with any party introduced by Sustaintech or any party to whom I am introduced indirectly as a result of an introduction by Sustaintech, I shall make such payment to Sustaintech as shall reasonably reflect the financial advantage conferred by that arrangement, such fee to determined by an arbitrator who is a member of the Institute of Arbitration and subject to the rules of that Institute, appointed by Sustaintech, and in pursuance of this clause. 10.1 I undertake to advise Sustaintech of any proposed commercial arrangement between myself and any party introduced by Sustaintech, and to keep Sustaintech advised of the progress of such discussions; 10.2 I undertake to negotiate in good faith a royalty or other arrangement that will reflect the value of the commercial relationship I may enter into, thereby avoiding the need for the fee to be set by arbitration; and 10.3 Failing satisfactory resolution of this issue through negotiation, to cooperate fully with any arbitrator appointed by Sustaintech and to comply with that arbitrator�s ruling as if it were a term of this contract. 11. My registration period is for an indefinite period, ending within 21 days of written notice delivered by email, letter or fax from either party to this Agreement. After termination of this registration, Conditions 3 8 9 11 12 and 13 will continue to apply. 12. Should I enter into any other type of commercial arrangement with any party introduced by Sustaintech, I shall make such payment to Sustaintech as shall reasonably reflect the financial advantage conferred by that arrangement, such fee to determined by an arbitrator who is a member of the Institute of Arbitration and subject to the rules of that Institute, appointed by Sustaintech, and in pursuance of this clause. a) I undertake to advise Sustaintech of any proposed commercial arrangement between myself and any party introduced through Sustaintech, and to keep Sustaintech advised of the progress of such discussions; b) I undertake to negotiate in good faith a royalty or other arrangement that will reflect the value of the commercial relationship I may enter into, thereby avoiding the need for the fee to be set by arbitration; and c) Failing satisfactory resolution of this issue through negotiation, to cooperate fully with any arbitrator appointed by Sustaintech and to comply with that arbitrator's ruling as if it were a term of this contract. 13. I undertake that I will not introduce any other investor, or potential commercial partner, to any investee that I am introduced to by Sustaintech, except if that investor or commercial partner has entered into an Investor Agreement with Sustaintech, or Sustaintech has waived that requirement in writing. 14. Sustaintech and its representatives are not liable to compensate the Business Investor or any other entity for loss, damage, cost or expense sustained or incurred prior to, during and subsequent to the engagement of Sustaintech. 15. This Agreement is binding upon staff, employees, managers and advisers of the organisation I represent, and any of their partners, corporations, heirs or successors. 16. I also acknowledge that Sustaintech advises: a) Information passed on by Sustaintech about the proposed business opportunity and the securities or scheme interests is not intended to be the only information on which an investment decision is made and is not a substitute for a regulated disclosure document, as the Corporations Act may apply to the investment. Detailed information may be needed to make an investment decision, for example: financial statements, a business plan, information about ownership of intellectual or industrial property, or expert opinions including valuations or auditors' reports. b) Investment in new business carries high risk and is highly speculative, and before investing in any project about which information is given, prospective investors are strongly advised to take appropriate professional advice. c) Prospective investors should be aware that no established market exists for the trading of any securities or scheme interests that may be offered.
